These Terms & Conditions (“Terms”) govern the use of the website located at cleaning365services.com (the “Site”) and the provision of janitorial, commercial cleaning, and related facility services (the “Services”) by Cleaning 365 Services (“Company,” “we,” “us,” or “our”) to any individual, business, or organization (“Client,” “you,” or “your”) located in Canada.

By accessing or using the Site, submitting a quote request, or engaging the Company for Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and, where applicable, our Environmental Policy. If you do not agree with any part of these Terms, please do not use the Site or engage our Services.

1. General Overview

Cleaning 365 Services is a Canadian-based commercial cleaning and janitorial company providing services including, but not limited to, office and workstation cleaning, restroom and break area sanitization, floor care, carpet and upholstery cleaning, medical and dental facility cleaning, warehouse and industrial cleaning, facility management, and day porter services across the Greater Toronto Area (GTA), Ontario, and British Columbia.

These Terms apply to all quotes, proposals, service agreements, invoices, and communications between the Company and the Client, whether made through the Site, by phone, by email, or in person, unless superseded by a separately signed written service agreement between the parties.

2. Eligibility and Client Responsibilities

By requesting a quote or engaging our Services, you confirm that you are at least 18 years of age, are authorized to act on behalf of the business or property named in the request, and have the legal authority to enter into an agreement for cleaning services at the specified premises.

2.1 Client Responsibilities

  • Provide accurate information regarding the facility, including size, layout, access requirements, and specific cleaning needs.
  • Ensure safe and reasonable access to the premises at agreed-upon service times.
  • Disclose any known hazards, restricted areas, sensitive equipment, or special handling requirements in advance.
  • Secure or remove valuables, confidential documents, and fragile items not intended to be handled by cleaning staff.
  • Notify the Company promptly of any service concerns so they may be addressed under our reclean guarantee.

3. Quotes, Estimates & Pricing

Quotes and estimates provided through the Site, by phone, or during an on-site facility assessment are based on the information supplied by the Client at the time of the request and are subject to confirmation following an on-site walkthrough where applicable.

  • All prices are quoted in Canadian Dollars (CAD) and are exclusive of applicable taxes (GST/HST/PST) unless otherwise stated.
  • Final pricing may be adjusted if the actual condition, size, or scope of the facility differs materially from the information provided.
  • Quotes are valid for thirty (30) days from the date of issue unless otherwise specified in writing.
  • Recurring service pricing is based on the agreed frequency (daily, weekly, monthly) and may be subject to periodic review with reasonable prior notice.

4. Booking, Scheduling & Cancellations

Service bookings are confirmed once the Client accepts a quote and a service date or recurring schedule is agreed upon. The Company will make reasonable efforts to accommodate scheduling preferences but does not guarantee exact arrival times except where expressly agreed in a signed service agreement.

4.1 Cancellations & Rescheduling

  • Clients requesting to cancel or reschedule a service must provide at least twenty-four (24) hours’ notice where reasonably possible.
  • Late cancellations, denied access, or failure to provide safe entry to the premises at the scheduled time may result in a missed-visit charge as outlined in the applicable service agreement.
  • The Company reserves the right to reschedule services due to severe weather, safety concerns, staff illness, or circumstances beyond its reasonable control, and will notify the Client as soon as practicable.

5. Payment Terms

  • Invoices are issued according to the payment schedule set out in the service agreement (e.g., upon completion, monthly, or per agreed milestones).
  • Payment is due within the timeframe stated on the invoice, typically net fifteen (15) or net thirty (30) days, unless otherwise agreed in writing.
  • Late payments may be subject to interest charges and/or suspension of services until the account is brought current, subject to applicable provincial law.
  • Any disputed charges must be raised in writing within fourteen (14) days of the invoice date.

6. Service Standards & Our 24-Hour Reclean Guarantee

The Company is committed to delivering consistent, professional cleaning results using trained, insured, and background-checked personnel. If the Client is not satisfied with the quality of a completed service, the Company will, upon notification within a reasonable period following service, take the following action:

24-Hour Reclean Commitment: Return to the facility within twenty-four (24) hours of notification to address and
correct the specific concern raised, at no additional cost, provided the concern falls within the originally agreed
scope of work.

This guarantee does not extend to items outside the agreed scope of service, pre-existing damage or wear, or conditions arising after the cleaning was completed and outside the Company’s control.

7. Access, Security & Keys

Where the Client provides keys, access codes, or fobs to the Company for the purpose of performing Services, the Company agrees to use such access solely for scheduled cleaning purposes and to maintain reasonable safeguards over such items. The Client is responsible for notifying the Company promptly of any change in access arrangements, security codes, or personnel authorized to grant access.

8. Insurance, Liability & Limitation of Liability

Cleaning 365 Services maintains commercial general liability insurance and Workplace Safety and Insurance Board (WSIB) coverage for its employees, in accordance with applicable Ontario and Canadian requirements.

  • The Company will exercise reasonable care in performing the Services and take reasonable steps to avoid damage to the Client’s property.
  • Any claim for loss or damage allegedly caused by the Company’s Services must be reported in writing within forty-eight (48) hours of the service in question, along with reasonable supporting evidence (e.g., photographs).
  • To the maximum extent permitted by applicable law, the Company’s total liability for any claim arising out of or relating to the Services shall not exceed the total amount paid by the Client for the specific service giving
    rise to the claim.
  • The Company shall not be liable for indirect, incidental, special, or consequential damages, including loss of business, revenue, or data, except where such exclusion is not permitted by law.
  • The Company is not responsible for pre-existing damage, normal wear and tear, or damage resulting from defective client-owned equipment, fixtures, or materials. Nothing in these Terms is intended to limit liability for gross negligence, willful misconduct, or any liability that cannot be excluded or limited under applicable Canadian or provincial law, including consumer protection legislation.

9. Health, Safety & Eco-Friendly Practices

The Company follows applicable Canadian and provincial occupational health and safety standards (including WHMIS requirements) and uses UL ECOLOGO® certified, GREENGUARD-compliant, and hospital-grade cleaning products where specified in the service scope. Clients requiring specific product exclusions (e.g., due to allergies or sensitivities) must notify the Company in advance so accommodations can be considered.

10. Confidentiality

The Company acknowledges that its personnel may have access to Client premises and, incidentally, to confidential information, documents, or data. The Company agrees to take reasonable measures to protect the confidentiality of any such information encountered in the course of providing Services and will not disclose it to third parties except as required by law.

11. Non-Solicitation of Staff

Unless otherwise agreed in writing, the Client agrees not to directly hire, solicit, or engage any employee or subcontractor of the Company who has been assigned to the Client’s account, for a period of twelve (12) months following the end of the last service performed, without the Company’s prior written consent.

12. Termination of Services

Either party may terminate an ongoing service arrangement by providing written notice in accordance with the notice period specified in the applicable service agreement (typically thirty (30) days for recurring commercial contracts, unless otherwise agreed). The Company reserves the right to suspend or terminate Services immediately in cases of non-payment, unsafe working conditions, or conduct that endangers Company personnel.

13. Website Use

The content on the Site, including text, images, logos, and graphics, is the property of Cleaning 365 Services or its licensors and is protected by applicable Canadian intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without prior written permission. Submission of information through Site forms (e.g., quote requests) constitutes consent to be contacted by the Company regarding your inquiry, in accordance with our Privacy Policy.

14. Third-Party Links & Reviews

The Site may reference third-party platforms (such as Google Business Profile) for client reviews and ratings. The Company does not control and is not responsible for the content, accuracy, or availability of third-party websites or platforms linked from the Site.

15. Force Majeure

The Company shall not be held liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including but not limited to natural disasters, extreme weather, labour disputes, government action, pandemics, or other events of force majeure.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation between the parties, and if unresolved, may be submitted to the courts of competent jurisdiction located in Ontario, Canada, or, where mutually agreed, resolved through mediation or arbitration.

17. Changes to These Terms

The Company reserves the right to update or modify these Terms at any time to reflect changes in our Services, business practices, or applicable law. Updated Terms will be posted on this page with a revised effective date. Continued use of the Site or Services after such changes constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

19. Entire Agreement

These Terms, together with any signed service agreement, Privacy Policy, and Environmental Policy, constitute the entire agreement between the Client and the Company with respect to the subject matter herein and supersede all prior discussions, understandings, or agreements, whether written or oral, relating to the same subject matter.
